The Senior Associate at Kinstellar Southeast Asia in Cambodia will provide high-level legal advice across complex transactional matters.
The role focuses on mergers and acquisitions, joint ventures, restructuring and financing transactions.
This position offers the opportunity to manage client relationships while mentoring junior legal professionals.
Department/Function: Legal, Compliance & Risk Management (Regulatory Affairs, Contract Law, Internal Audit)
Key Duties & Responsibilities
Advise clients on a wide range of corporate and commercial transactions including M&A, joint ventures, private equity, venture capital and financing deals.
Draft, review and negotiate transaction documents such as share purchase agreements, joint venture agreements, loan agreements, security documents and shareholder agreements.
Conduct legal due diligence and provide risk assessments to support transaction structuring.
Liaise with regulators, financial institutions and external counsel to ensure compliance with applicable laws and regulations.
Provide strategic legal advice to clients in relation to cross-border and domestic transactions.
Supervise, guide and train junior associates and legal assistants within the team.
Contribute to business development by preparing client pitches, proposals and thought leadership materials.
Qualifications, Skills & Experience
Bachelor of Laws (LLB) or higher degree from a recognised university; admission to the Bar is preferred.
Minimum of 5 years' experience in corporate and transactional law, preferably with a top-tier law firm or international practice.
Proven experience handling complex corporate transactions, including drafting, negotiation and closing deals.
Strong knowledge of company law, banking and finance law, securities law and regulatory frameworks.
Excellent written and verbal communication skills in English; fluency in another language such as Chinese is an advantage.
Strong analytical and problem-solving skills with commercial awareness.
Ability to work independently and as part of a team in a fast-paced environment.
